You are responsible for ensuring that someone is available at the delivery address to receive your order. If no one is available to receive the delivery and our driver cannot complete the delivery, we reserve the right to charge you for the order in full. Special delivery instructions should be provided at the time of ordering; however, we cannot guarantee that all special instructions will be fulfilled.

7. Intellectual Property Rights

JET'S PIZZA DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SITE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SITE WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JET'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL JET'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between Jet's Pizza and you, and Jet's Pizza would not have entered into these Terms without such limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Jet's Pizza's liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or services in any manner not expressly authorized by these Terms;
• Your violation of any applicable law, rule, or regulation;
• Your violation of any third-party rights, including without limitation any intellectual property, privacy, or proprietary rights;
• Any content or information you submit, post, or transmit through the Site;
• Your negligence or willful misconduct.

Jet's Pizza reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Jet's Pizza in asserting any available defenses. You agree not to settle any matter without the prior written consent of Jet's Pizza. Jet's Pizza will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Jet's Pizza is registered and operates, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising under or related to these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located within the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the laying of venue of any such proceeding in such courts and waive any objection that such courts are an inconvenient forum.

These Terms are subject to applicable federal consumer protection laws, including the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., which prohibits unfair or deceptive acts or practices in commerce. Where applicable, certain state-specific consumer protection statutes may also apply, including the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) for residents of California, providing specific rights regarding the collection, use, and disclosure of personal information.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting Jet's Pizza at [email protected] with a written description of the dispute, the relief sought, and the contact information of the complaining party. The parties agree to attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from receipt of the initial notice. If the dispute is not resolved within this period, either party may pursue formal dispute resolution as described below.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

The arbitrator shall have the authority to award any remedy that would be available in a court of law, provided that the arbitrator shall not have the authority to award relief in excess of what these Terms provide or to award punitive damages except as authorized by applicable law.

12.3 Class Action Waiver

YOU AND JET'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Jet's Pizza agree in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidential information, or other proprietary rights.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site or services. Jet's Pizza may, in its sole discretion and without prior notice, terminate or suspend your access to all or part of the Site and services for any reason, including without limitation if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms.

Upon termination: (a) your right to use the Site and services shall immediately cease; (b) any outstanding payment obligations you have incurred shall become immediately due and payable; and (c) Jet's Pizza may delete your account and all information associated therewith. We shall not be liable to you or any third party for any termination of your access to the Site or services.

Provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and governing law.

If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or contrary to public policy for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision herein.

The parties agree that the court or arbitrator shall endeavor to give effect to the parties' intentions as reflected in any such invalid, illegal, or unenforceable provision, and the remaining terms and conditions of these Terms shall be construed and enforced as if such invalid, illegal, or unenforceable provision had never been included herein.

20. Entire Agreement and Waiver
